Applicability

1.1 This Warranty Policy is applicable to all products sold and/or supplied by Caeli Group Pty Ltd to a Purchaser and takes precedence over any terms and conditions of the Purchaser.

1.2 Additionally, this Warranty Policy is subject to the Terms and Conditions governing the sale and supply of products from Caeli Group Pty Ltd (“Terms and Conditions”), which can be accessed on the website www.caeligroup.com.au. These terms are an integral part of any Quotation or Order Confirmation, as well as any Contract with Caeli Group Pty Ltd.

Definitions

2.1 The term “Contract” refers to any agreements for the sale
and/or supply of Product(s) from Caeli Group Pty Ltd.

2.2 The “Parties” encompass both Caeli Group Pty Ltd and the Purchaser collectively.

2.3 “Price” pertains to the cost to be paid by the Purchaser for the Product(s), excluding Goods and Services Tax (GST).

2.4 “Product” denotes the product(s) as specified in the Contract.

2.5 “Purchaser” encompasses any party or parties entering into a Contract with Caeli Group Pty Ltd for the sale and/or supply of Product(s) by Caeli Group Pty Ltd.

General

3.1 Caeli Group Pty Ltd (hereinafter referred to as “Caeli Group”) warrants products manufactured by it to be free of defects in material and workmanship under normal use and service for a period of twelve (12) months from start-up or eighteen (18) months from the date of invoice, whichever occurs first.

3.2 Caeli Group’s obligation under this warranty is limited to repair or replacement of any part(s) of Caeli Group unit(s) which, after Caeli Group’s examination, shall disclose to its satisfaction to have been defective.

3.3 This warranty does not cover labor, diagnosing (troubleshooting), premium for overtime, transportation, or any other costs associated with removal or replacement of defective part(s) covered under this warranty. The replacement of a second failure of the same part will not be covered under any circumstance for this standard and all extended warranties.

3.4 Caeli Group considers equipment original start-up when the unit and/or fans are started for operation regardless of: -when the building may be ready for operation, -duct work not yet completed, -building management system (BMS) not yet completed, -unit balancing not yet completed.

3.5 No warranty liability whatsoever shall attach to Caeli Group until Customer’s complete order has been paid for in full.

3.6 Caeli Group’s liability under this Warranty shall be limited to the purchase price of the Equipment shown to be defective.

Replacement part policy

4.1 This Standard Warranty only applies when the Caeli Group equipment serial number and the defective part(s) serial number are given at the time of request for replacement.

4.2 Depending on the type of part(s) deemed defective, Caeli Group may: – insist on returning defective part(s) to the Caeli Group Factory with an assigned Return Parts Form or – contact the part(s) supplier directly, which will assign and process the part(s) as per their warranty claim procedures, or – discard defective part(s) by following local disposal codes.

4.3 Unless otherwise stated, all freight charges on warranty repairs or replacements are the responsibility of the customer.

4.4 For part(s) requested to return to the Caeli Group Factory, the customer will be required to submit an Return Parts Form which is available on Caeli Group’s website (caeli.com.au) under the CONTACT US Page.

4.5 The return of defective part(s) will only be allowed once anReturned Parts number has been issued by Caeli Group.

Defective on arrival (DOA) policy

5.1 Defective on arrival (DOA) parts are defined as parts provided and manufactured only by Caeli Group that fail within thirty (30) days of start-up.

5.2 Component failure must be due to defective parts or manufacturing and must not have been caused by conditions after shipment from the factory. Component failure must be verifiable, and photos may be required as evidence of failure.

5.3 DOA claims cover component, freight, and labor costs for parts that have been declared defective within the DOA period defined above. The labor rate allowed for repair is $90 (per hour) and is subject to the following Man-hours table.

5.4 Travel, lodging, mileage, rigging, hoisting, maintenance, service calls, check-ups, troubleshooting, meetings, overtime, or other such incidentals are not covered.

Authorization

6.1 Caeli Group will not pay for unauthorized repairs.

6.2 Only Caeli Group Factory Service Department representative can approve repair labor. To submit a request, the customer must fill in the “SEND A REQUEST” Form which is available on Caeli Group’s website (caeli.com.au) under Service & Technical Support.

7.1

Limitation of Liability

8.1 Apart from the provisions explicitly stated in this Warranty Policy, Caeli Group Pty Ltd bears no obligations or liabilities to the Purchaser regarding the delivered Product(s) or any of its parts. Accordingly, without limiting the general scope, Caeli Group Pty Ltd shall not, under any circumstances, be liable to the Purchaser for liquidated damages, loss of production, lossof profit, loss of revenue, loss of use, cost of capital, costs related to the interruption of operation, or any other consequential or indirect loss or damages arising from or in connection with any supplied Product(s).

8.2 At the end of the Warranty Period, all liability on the part of Caeli Group Pty Ltd shall cease.

Force Majeure

9.1 If Caeli Group Pty Ltd is unable to fulfill its obligations under the Warranty Policy due to circumstances beyond its control and which it could reasonably have foreseen or considered (including, but not limited to, industrial disputes, fire,flood, power blackout, earthquake, war, or delays in deliveries by sub-contractors), it shall be considered a force majeure event. In such cases, Caeli Group Pty Ltd will not be held liable for damages or any other form of relief or remedies.

Concession

10.1 During the warranty terms set forth, Caeli Group may consent to modify, alter, or change warranty policies to accommodate the Customer.

10.2 It is expressly understood that this Standard Limited Warranty is in lieu of all other warranties with the exception of any additional extended warranties purchased, expressed or implied; and all implied warranties of merchantability and fitness for a particular purpose are hereby disclaimed by Caeli Group and excluded from this warranty.
